Settlement and contractual conditions

  • Ownership transferred to PRIME ASI on signing, independently of payment. The contractual stake price is PLN 700,000. Payment is deferred; the report does not confirm that it has been made.
  • The agreement provides for payment within 20 days of signing, subject to conditions including required notifications to the Ministry and court register, maintaining the licence and the conditions for licensed operations. The ongoing series I share issue is the funding source identified in the report.
  • PRIME ASI may withdraw by the end of day 120 after acquisition, including if payment conditions remain unmet at the end of day 90, or specified issues arise concerning the licence, sellers' representations or legal title to the shares.
  • If payment conditions remain unmet at the end of day 120, the share-sale part of the agreement terminates unless the parties extend the deadline beforehand. Withdrawal or termination requires return of the shares and any price paid within 7 business days.
